This Website is a peer-based educational research tool. Schoology does not condone the infringement of proprietary rights of any
person, nor any act of plagiarism or other academic fraud or misconduct. Schoology reserves the right to bar from using the Website
any users who engage in such activities.

After you have registered to use this Website, you may upload certain materials including but not limited to, study guides,
outlines, notes, other written materials, or other audio and/or visual materials, where it will be posted for other users to read and
use for educational purposes. If you elect to post material and/or participate in our social networking channels or other community
boards that may be offered on our Website, or if you elect to upload any photographs, audio or video, you will be solely responsible
for all content, messages, text, files, images, graphics, photos, audio clips, sounds, video or other materials (the "User Content").
You agree not to furnish any User Content to which you do not own the rights or with respect to which you do not have permission to
post on the Internet for access by others. By furnishing User Content, you give Schoology the right to use such User Content in any

right to delete or edit any material in any posting of User Content that is offensive, obscene, harassing, offensive or otherwise
objectionable and not in keeping with the community standards of the Website, including but not limited to the standards listed herein
under Section 11. If Schoology elects to edit any User Content, it nonetheless assumes no responsibility for the content of the User
Content. Under no circumstances will Schoology be liable for any inaccuracy or defect in any User Content.
You agree to use and rely on User Content at your own risk. Schoology cannot make any representation or warranty about the material
contained in the User Content. Schoology likewise assumes no responsibility for any contact you may have with other users of our
Website, either online or offline. If you elect to meet in person with someone you may meet on our Website, you do so at your own
risk, and under no circumstances will Schoology be liable for any activity or injury that may occur.

After you have registered to use this Website, you may access this Website and view, display, download, store, and print User
Content, but only for personal, non-commercial, educational use. You may not remove any copyright notices or other notices of
intellectual property rights from such content and you may not copy, publicly distribute, perform, or display, or create derivative
works from any User Content, except as permitted by 17 U.S.C. § 107. Under no circumstances may you expressly or impliedly state or
represent that you are the author or creator of any User Content unless you are in fact the author or creator, and you may not present

the right to pursue all violators to the fullest extent of the law, and to terminate their access to the Website.

Our Rating Systems
You acknowledge that visitors to the Website may post comments about User Content uploaded and posted by you which may be
derogatory, and that Schoology has no obligation to monitor or delete any such postings. If you upload and post User Content on the
Website, Schoology shall not be liable to you in any way relating to such comments and/or ratings as to the source of the User Content.
By uploading and posting User Content, you expressly waive any and all claims against Schoology, and release Schoology from any and all
liability, relating to such ratings. Schoology shall have no obligation to change such ratings under any circumstances.

Payments
Each time a user downloads User Content that you uploaded and posted on the Website, Schoology may credit to the account created by
your registration a monetary payment related to advertising displayed to the user who downloads the User Content you posted. You have
no right to be paid for such downloads or to audit Schoology’s records, if any, of such downloads. Schoology shall not be obligated to
make such payments and reserves the right to suspend or to discontinue such payments at any time, and under any circumstances.
Schoology shall have the sole and exclusive right to decide whether any such payments will be made, and the amount of each payment, and
to change such amount at any time. Schoology shall have the right to employ procedures and technology to identify or detect downloads
of your User Content for the purpose of directing payments to you, and shall have the right to terminate your access to the Website
for such purposes, and any other user involved in such downloading. If you engage in such activity, you shall be liable to refund any
payments Schoology has credited to your account. Additionally, if you engage in fraudalent activity, such as the representing of
someone else work as your own, and do receive payment for the work, Schoology maintains the right to demand refund of any such
payments Schoology has credited to your account.

By registering to use this Website, uploading any User Content to this Website, Downloading any User Content from this Website, or
linking to the Website, you are entering into an agreement with Schoology. At all times, you are bound by the then-current version of
this Agreement and all applicable laws. Schoology highly recommends that you review this Agreement from time to time to ensure that
you are familiar with the most recent version. We reserve the right in our sole discretion to modify, alter, or otherwise change this
Agreement or portion thereof at any time, without notice to you, although changes will be posted on the Website. This Agreement,
together with our Privacy Policy, constitutes the entire agreement between you and Schoology relating to your use of the Website. If
any portion of this Agreement is unlawful, invalid, or unenforceable, then such portion of this Agreement shall be deemed severed from

any disputes relating thereto shall be governed in all respects by the laws of the State of New York, and any disputes shall be resolved
solely in the state and federal courts located in Manhattan, New York. You agree to submit to the jurisdiction of the New York
courts. Statute of Limitations: You agree that any claim or cause of action arising out of or related to use of the Site or Service must be
filed within one (1) year after such claim or cause of action arose or be forever barred.
